Address: *Both parties A and B sign this contract on the overall transfer of restaurants based on voluntariness, equality, friendly negotiation, and in accordance with the Civil Code of the People's Republic of China and relevant laws and regulations, and both parties shall abide by and implement it.
Article 1 Party A voluntarily subleases the restaurant (hereinafter referred to as the "restaurant") to Party BIncluding the ownership of the relevant facilities in the restaurant shall be transferred to Party B, mainly including dining tables, chairs, kitchen equipment and other facilities.
Article 2 Party B shall pay Party A a one-time sublease fee and related facilities transfer fee.
Article 3 The payment of Party B shall be collected by the person in charge of the restaurant, and Party B shall pay the price under the contract to the person in charge in a lump sum on the day of signing the contract.
Article 4 For the remaining years of the lease of the restaurant, the transfer of the lease right of the restaurant shall be valid after obtaining the consent of the lessor.
Article 5 After Party B pays the transfer price of the restaurant, Party A shall hand over the rights under the contract to Party B. On the day when the transfer price is paid, Party B formally obtains the lease right of the restaurant and the ownership and use right of the related facilities.
Article 6 After the overall transfer of the restaurant, Party B shall continue to perform all the contracts or agreements signed between the original restaurant and the lessor during the contract period, and if Party B really needs to terminate or change all the contracts or agreements signed between the restaurant and the lessor in advance, it may sign a separate agreement with the lessor.
Article 7 After the overall transfer of the restaurant, Party B shall bear all the tax fees and the registration cost of relevant documents borne by Party A and Party B.
Article 8 The creditor's rights and debts before the overall transfer of the restaurant shall be enjoyed and borne by Party A, and the creditor's rights and debts incurred by Party B after obtaining the overall transfer rights and interests of the restaurant shall be enjoyed and borne by Party B.
Article 9 After Party B obtains the overall transfer of rights and interests of the restaurant, Party B shall not carry out illegal operation at the original location of the restaurant, and shall pay taxes in accordance with the regulations, bear its own profits and losses, and bear its civil liability.
Article 10 Liability for breach of contract: If Party B fails to pay the transfer price to Party A in accordance with the contract, Party B shall bear the liability for breach of contract of 3/1000 per day of the total transfer priceIf Party A fails to transfer the rights under the contract to Party B in a timely manner, Party B shall be liable for breach of contract equal to 3/1000 of the total transfer price per day.
Article 11 In addition to the above-mentioned provisions on liability for breach of contract, in the event of other disputes and liabilities for breach of contract under this contract, either party may file a lawsuit with the people's court with jurisdiction in the place where the restaurant is located.
Article 12 This contract shall be executed in duplicate by both parties, and each copy shall have the same legal effect.
Article 13 This contract shall come into force on the date of signature and seal of both parties.
