The time required for the process of capital reduction may vary depending on factors such as region, type of company, scale of capital reduction, and problems encountered in the specific operation process. The following is an approximate process and timeline for capital reduction, but please note that the actual situation is subject to change

1.Preparation Phase:

Convene a shareholders' meeting or a general meeting of shareholders to pass a resolution on capital reduction.

Preparation of balance sheets and property inventories.

Formulate a capital reduction plan and corresponding amendments to the charter.

2.Announcement Phase:

Announcements of capital reductions are published in newspapers, usually for 45 days.

Publish an announcement on capital reduction in the national enterprise credit information publicity system.

3.Notify creditors:

Notify known creditors within 10 days from the date of the resolution to reduce the capital.

For unknown creditors, notice shall be made by way of public announcement, and the announcement period shall be 30 days.

4.Creditor Objection Period:

Within 30 days from the date of receipt of the notice, and within 45 days from the date of the first announcement if the creditor does not receive the notice, the creditor has the right to require the company to repay the debts or provide corresponding guarantees.

5.Industrial and commercial change registration:

After the expiration of the announcement period and the handling of creditors' objections, submit the relevant materials for capital reduction to the industrial and commercial department and handle the registration of the change of registered capital.

Pick up a new business license.

6.Follow-up Processing:

Update the Articles of Association and related legal documents.

Carry out accounting and tax treatment.

The entire capital reduction process can take anywhere from a few months to a year. If you encounter complex situations, such as debt disputes, shareholder differences, etc., it may lead to a longer process.
