1.5 billion yuan in arrears! Cardholders pay and then go to court

Cardholder payment service*** hereinafter referred to as "cardholder payment") 1.5 billion yuan claim lawsuit has made new progress. On March 7, a reporter from Beijing Business Daily noticed that Dahua Intelligent (002512), an A-share listed company, recently issued an announcement saying that its shareholding company had recently received legal documents such as "Civil Complaint" and "Notice of Response" from the Intermediate People's Court of Xiamen City, Fujian Province.

According to the announcement of Dahua Intelligence, the case of the dispute over the bank settlement contract between the plaintiff Huaxia Bank (600015) and the defendant Shangguan Buyan, Cardholder Payment Service *** Xiamen Branch (hereinafter referred to as "Cardholder Xiamen"), Cardholder Payment, Wang Hongyu and the third party Guangzhou Convergence Payment Electronic Technology *** Bank Settlement Contract Dispute has been filed by the Intermediate People's Court of Xiamen City, Fujian Province. Huaxia Bank Xiamen Branch claimed an amount of 149.9 billion yuan.

It is understood that at the end of October 2023, Dahua Intelligent issued an announcement on the lawsuit involving cardholder payment, saying that Huaxia Bank Xiamen Branch sued cardholder payment, cardholder Xiamen and Shangguan Buyan, and the claim amount was the same as this time. Subsequently, on February 18, 2023, Dahua Intelligent announced that Huaxia Bank Xiamen Branch withdrew the lawsuit. Compared with the last lawsuit, Wang Hongyu has been added to the defendant in this lawsuit.

According to the previous announcement of Dahua Intelligence, in August 2016, Huaxia Bank Xiamen Branch signed an agreement with Cardholder Xiamen, stipulating that Huaxia Bank Xiamen Branch will provide T+0 settlement business for Cardholder Xiamen special merchants. The business model is that Huaxia Bank Xiamen Branch provides cardholder Xiamen with T+0 advance funds, and cardholder Xiamen transfers the same amount of T+0 transaction funds and handling fees to Huaxia Bank Xiamen Branch on the next working day of T+0 (i.e., T+1).

On September 13, 2018, Huaxia Bank Xiamen Branch stopped the aforesaid T+0 payment business, and the transaction funds that had occurred on September 12, 2018 were about 1.5 billion yuan, and the cardholder Xiamen failed to return nearly 1.5 billion yuan paid by Huaxia Bank Xiamen Branch on September 12 on time, so Huaxia Bank Xiamen Branch filed a lawsuit.

Huaxia Bank Xiamen Branch demanded that the cardholder company and the cardholder Xiamen branch jointly repay the payment funds, and pointed out that Shangguan Buyan, as the shareholder and legal representative of the cardholder company and the person in charge of the cardholder Xiamen company, abused the independent status of the cardholder company as a legal person and the limited liability of its shareholders, and used fictitious transactions and other means to obtain the plaintiff's funds to evade debts, and required it to bear joint and several liability for the above-mentioned debts of the cardholder company and the cardholder Xiamen company.

According to the data of the People's Bank of China, Cardholder Pay obtained a bank card acquiring license in June 2012, and the earliest business coverage was nationwide, and then "shrunk" in July 2018, and the current business coverage is Tianjin, Shandong (including Qingdao), Sichuan, Beijing, Yunnan, Qinghai and Shenzhen.
