On May 15, 2013, Liu Rongfu and some of the company's directors, supervisors, senior managers and core backbones, and the company's controlling shareholder Chengdu Rainbow Industrial Co., Ltd. *** hereinafter referred to as "Rainbow Industry") shareholders of 19 people, Huang Chaowan, Yin Maolong, Xu Weiping, Liu Qunying, Lei Yi, Hong Qilin, Wen Zongfen, Qin Quhui, Liu Ying, Zhang Yanxia, Yin Hua, Li Longbo, Lin Xuyu, Yao Jie, Zhang Xiaofan, Zhang Haojun, Huang Xiaobing, Hou Yong, Yi Jun (hereinafter referred to as the "parties" or "each acting in concert") ) entered into a Concerted Action Agreement (the "Original Agreement"), and after the expiration of the original Agreement on December 10, 2023, the parties will continue to act in concert with Liu Rongfu and renew the new Concerted Action Agreement.
In order to continue to stabilize the control of Rainbow Industrial and improve the efficiency of the exercise of shareholders' voting rights, Liu Rongfu and the parties acting in concert jointly signed a new "Concerted Action Agreement" on the expiration date of the original agreement, which will take effect from the date of signing and will expire on December 10, 2026.
