The Shenzhen Securities Regulatory Bureau pointed out that after investigation, in 2018, Mingjiahui did not disclose the income protection agreement signed by Cheng Zongyu and his spouse on the company's non-public offering, which violated the second paragraph of Article 52 of the Administrative Measures for the Issuance of Listed Companies (Decree No. 57 of the CSRC) and the first paragraph of Article 2 of the Administrative Measures for the Information Disclosure of Listed Companies (Decree No. 40 of the CSRC).
The Shenzhen Securities Regulatory Bureau determined that Cheng Zongyu, as the actual controller and chairman of the company, was primarily responsible for the aforesaid information disclosure. In accordance with the provisions of Article 58, Paragraph 1 and Article 59 of the Administrative Measures for Information Disclosure of Listed Companies (Decree No. 40 of the CSRC), it was decided to take regulatory measures to issue warning letters to Mingjiahui and Cheng Zongyu.
