8. Rights and Obligations of the Parties.
1) Party A's rights and obligations.
1. Party A is responsible for providing photographers, makeup artists, costumes and costume accessories required for shooting according to the shooting content;
2. Party A is responsible for the transportation, accommodation and catering of Party B's models during the shooting;
3. Party A shall pay the fees agreed in this Agreement to Party B on time according to the amount and payment method agreed in this Agreement;
4. Party A has the right to use the portrait of Party B's model within the scope of the agreement, but the above use shall not constitute any degree of scandalization, distortion or degradation of the taste and grade of its super model, and shall ensure that the shooting content is healthy, reasonable and legal.
5. Party A's shooting results shall be provided to Party B for the purpose of archiving and retaining Party B.
6. Party A has the right to take pictures of Party B's model according to this agreement, and has legally obtained the right to use the portrait of Party B's model; Party A enjoys the ownership of the photographed works and related intellectual property rights; Without the prior consent of Party A, Party B and Party B's models shall not be used or allowed to be used by others.
7. Party A has the obligation to ensure that the person and property of Party B's model are not infringed, and Party A shall be liable for compensation if the person and property of Party B and Party B's model suffer losses due to Party A's reasons or the third party hired by Party A.
2) Party B's rights and obligations:
1. Party B is responsible for providing contracted models to participate in Party A's shooting;
2. Party B guarantees that the models participating in the shooting will arrive at the shooting site on time and actively cooperate with Party A's work; If Party B's model breaches the contract or invalidates the contract without reason, Party B shall bear all losses incurred by Party A.
3. Party B and Party B's model hereby promise to undertake the obligation of confidentiality for all Party A's business secrets and technical secrets (confidential information) learned during the cooperation with Party A, all materials provided by Party A and all creative achievements;
4. Party B and Party B's model agree that Party A will carry out technical processing of the portrait work in the post-production, and the result of the treatment can only be used externally after Party B's consent.
9. Fees and Payment Methods:
1. Party A shall pay 50% of the advance payment to Party B 7 working days before the shooting, provide the official invoice to Party A after receiving the advance payment, and pay 50% of the balance to Party B within 7 working days after the end of the shooting.

Ten. 1. Liability for breach of contract:
1. After the signing of this agreement, within 7 working days before the shooting, if the shooting is cancelled due to Party A's reasons, the advance payment collected by Party B will not be refunded.
2. If Party A does not pay the fee to Party B according to the term and amount of this agreement, Party B has the right to require Party A to perform within a certain reasonable period of time, and if Party A fails to perform within a certain period of time, Party B may terminate the contract and require Party A to bear 100% of the total cost of liquidated damages.
3. If Party A violates the provisions of this agreement, uses it beyond the scope, damages the image of the model, or transfers the right to use it without the consent of Party B and damages the interests of Party B, Party B has the right to terminate this agreement and require Party A to bear 100% of the total cost of liquidated damages.
4. If Party B does not perform its obligations within the time limit and manner agreed in this agreement, Party A has the right to require Party B to perform within a certain period of time, and if it fails to perform within a limited period of time, Party A may terminate the contract and require Party B to bear 100 liquidated damages of the total cost.
Ten. II. Governing Law and Dispute Resolution.
The conclusion, signing, interpretation and performance of this Agreement shall be governed by the laws of the People's Republic of China, and any dispute arising between the two parties in the course of performing this Agreement shall be resolved through negotiation. If a settlement cannot be reached through negotiation, either party may file a lawsuit with the people's court with jurisdiction in the district where the agreement is signed.
Ten. 3. This contract shall be made in duplicate, one copy of each party shall be held by both parties, and shall have the same legal effect after being signed by both parties.
