Xiaomi Group announced yesterday that Professor Tiny Cheung Tong has resigned as an Independent Non-Executive Director, Chairman of the Nomination Committee of the Board and a member of the Corporate Governance Committee with effect from 8 January 2024 due to his intention to devote more time to other matters.
The Board of Directors of Xiaomi Group would like to express its deep gratitude to Professor Tang for his valuable contributions to the Company during his tenure.
Xiaomi Group also announced that Ms. Cai Jinqing has been appointed as an independent non-executive Director and a member of the Nomination Committee and Corporate Governance Committee of the Board with effect from 8 January 2024.
According to reports, Ms. Cai Jinqing, 56, received a bachelor's degree from Wellesley College in Massachusetts, and a master's degree in public affairs from the School of International and Public Affairs of Princeton University.
Ms. Cai Jinqing has been the President of Kering Greater China since 2018 and is committed to raising Kering's visibility in the region, strengthening Kering's relationships with partners, driving Kering's long-term development in China, and contributing to the region's growing role in the global market.
From 2012 to 2018, Ms. Cai Jinqing worked for Christie's, an internationally renowned art auction house. During Christie's tenure, Cai Jinqing was appointed as the first Managing Director, President and Chairman of Christie's China. Currently, Ms. Choi is a member of Christie's Asia Advisory Board.
From 2005 to 2012, Ms. Cai Jinqing was also a founding partner of Brunswick, an internationally renowned public relations consulting firm. Prior to that, Ms. Cai founded New Alliance International PR Consultant*** and served as the exclusive PR consultant for the Boao Forum for Asia Annual Conference.
Since 1 December 2021, Ms. Choi Kam Ching has been trading her shares in Mandarin Oriental*** on the London** Stock Exchange (stock code: MDO), the Singapore Exchange (stock code: M04) and the Bermuda** Exchange (stock code: MOIBD.).bh) is a non-executive director on the board of directors. Ms. Cai is also the Vice Chairman of Teach China.
According to the terms of Ms. Choi's letter of appointment, Ms. Choi is entitled to receive HK$600,000 per annum from the director's robe.
Ms. Cai Jinqing has served as the President of Kering Greater China since 2018 and has won many honors such as "Forbes China's 100 Most Influential Business Women" and "2023 Fortune China's Most Influential Business Women".
Xiaomi said that the group's first female independent non-executive director is an important step in continuously improving the ESG management system, enhancing gender diversity and inclusiveness of board members, and promoting the professionalization of the group's governance.
Xiaomi's Board of Directors also announced that Wong Shun Tak has been appointed as the Chairman of the Nomination Committee of the Board with effect from 8 January 2024.
